As part of our main practice areas, we have assisted clients in various cross border transactions including Chinese and Japanese deals, and in various aspects of transactions ranging from bidding and auction sale, IPO and international offerings and listings, private equity and asset and investment management, privatisation and government relations and restructuring and insolvency (R&I). We also actively advise clients on a variety of regulatory frameworks including data protection, merger control and fintech and electronic payment as well as those relating to tech and startup companies.

As part of our M&A practice, we have been involved in a number of bidding process and auction sales acting for both interested buyers and sellers, including the government, some of which require that we coordinate, liaise and negotiate with some 40 interested parties. Whilst the great majority of these transactions concern equity in Thailand, we have also assisted our clients in buying or selling companies outside of Thailand as well as distressed portfolios.

Notable transactions include:

  • Acquisition by Golden Lime from the Ministry of Finance and CPB Equity of approximately 99% interest of Thai Marble Corporation through a bidding process

  • Advising a leading integrated poultry company in its proposed investment in KFC

  • Acquisition by First Pacific Group of approximately 29.45% interest in Don Muang Tollway from Capital Asia

  • Advising a leading retail group company in Thailand in its proposed acquisition of Carefour Thailand and Asia Book

  • Disposition by BNP Paribas of its entire interest in Cetelem Thailand to TK

  • Advising a renowned UK bank in its potential acquisition of Capital OK, an operator of personal loan, retail finance, credit card and hire-purchasing businesses

  • Advising a leading integrated poultry company in its proposed investment in McDonald Thai

  • Disposal by Financial Institutions Development Fund (FIDF) to CIMB Group of approximately 42% interest in BankThai through a bidding process

  • Advising Ayudhya Investment and Trust (“AITCO”) in connection with its proposed sale of the Company’s non-performing loan portfolio through a bidding process
