Our team has assisted and represented both operators and private equity investors in M&A and financing-related transactions, involving international private schools and universities in Thailand. Due to the highly regulated nature of this industry, we have been heavily involved in advising on applicable foreign ownership restrictions and regularly interact with relevant officers at the Ministry of Education during the course of our representation.

Notable transactions include:

• Advised WA Education Service Limited on its collaboration and joint investment with the Rabbit Holdings (a BTS group company) in the establishment of a new K-12 international school in Thailand under the name “Wycombe Abbey International School Bangkok”, marking WA Education Services’ strategic entry into Thailand’s growing international education market


• Advised the founder and individual owner of Mooltripakdee International School on the sale of shares in the company owning the school to XCL Education, together with the structuring of long-term lease arrangements for the school premises


• Advised on the joint venture between Braincloud (Thailand) and Everlead under the name “BCJX” to offer an eLearning platform


• Advised a prominent Singaporean fund on its proposed acquisition of a group of Thai and international schools in Thailand


• Advised a long-standing bilingual Thai school on the proposed partial divestment to a global school network


• Advised China YuHua Group on its acquisition of Stamford International University


• Advised a company engaging in higher education services in the People’s Republic of China on its acquisition of equity interest in Shinawatra University


• Advised Navis Capital on the acquisition of the Ambassador Education Group, a licence holder of six private international schools in Thailand
