Additionally, our experience includes dealings with building materials, chemicals, industrial machinery, packaging, paper and printing materials, petrochemicals, and steel.

Throughout our involvement in the automotive and logistics sectors, especially in due diligence and contract negotiations, our team has consistently interacted with key regulatory bodies such as the Board of Investment (BOI), Industrial Estate Authority of Thailand (IEAT), local governments, and land offices. We have frequently navigated regulatory and commercial issues across a range of key commercial contracts, including business cooperation agreements, joint ventures, financing arrangements, security agreements, Engineering, Procurement, and Construction (EPC) contracts, construction agreements, distribution agreements, and manufacturing contracts. This experience has allowed us to develop a deep understanding of industry-specific licensing requirements and regulatory compliance issues specific to the automotive and logistics sectors.

Notable transactions include:

• Advised Bongkot Holdings, a subsidiary of Precious Shipping, on the acquisition of V.L. Enterprise, a leading operator in domestic and international sea transportation for petroleum and chemical products, by way of a conditional voluntary tender offer


• Advised Boon Rawd Supply Chain on its partnership with a prominent renewable energy company for the operation of an electric motorbike rental business targeting enterprise and business customers in Thailand


• Advised Hyundai Motor (regarding Thai law aspects) in the asset acquisition of Hyundai Motor (Thailand), the main distributor of Hyundai-branded motor vehicles in Thailand


• Advised J&T Express Group on its investment and the restructuring of its group companies in Thailand, focusing on enhancing logistics operations


• Advised on the joint venture between Betagro and Kerry Express under the name “Kerry Betagro” to engage in a cold chain delivery service business


• Advised Mongkol Group on its joint venture with Berli Jucker for its logistic, trading and distribution related businesses in Vietnamd


• Advised on the formation of a joint venture between Key Safety Systems (Thailand) and Summit Auto Seats Industryd


• Advised Sunningdale Tech on its acquisition of Adval Tech (Thailand) which engages in the manufacturing of plastic components relating to automotive partsd


• Advised the Korphaibool Family on its divestiture of shares in Hitachi Chemical Storage Battery to Hitachi Chemical Group, a leading manufacturer and distributor of automotive and motorcycle batteries under the “3K” brandd


• Advised (in conjunction with Skadden, Arps, Slate, Meagher & Flom LLP as lead counsel) Joyson KSS Auto Safety S.A. and some of its subsidiaries in connection with its entry into a USD 900 million senior multicurrency term and revolving facility agreement with (i) Deutsche Bank AG, Tokyo Branch, (ii) Mizuho Bank, and (iii) China Merchants Bank to support financing the global acquisition by Key Safety Systems Group of businesses and assets of Takata Corporation Groupd


• Advised OKK Corporation on its joint venture and investment in Pana-Taguchi (Thailand), as well as other corporate and foreign direct investment related matters
